This Agreement is entered into on 2026-07-28 by and between:

Paadio LLC ("Service Provider"), and You ("Client").

1. Services Provided

Paadio agrees to provide Virtual Assistant (VA) services to Client, which may include but are not limited to: Administrative support, Social media support, Customer service support, and other tasks mutually agreed upon in writing. The specific package selected will determine the scope and number of service hours provided per month.

2. Term

This Agreement shall commence on the Effective Date and shall remain in effect month-to-month unless terminated by either Party in accordance with Section 7 below.

3. Fees & Payment

The Client shall pay Paadio the agreed package rate: $480.00. Payment is due in advance before services begin each month. Payments shall be made via Bank Transfer. No services will be rendered until payment is confirmed.

4. Responsibilities of Paadio

Paadio shall assign a dedicated VA, ensure tasks are completed within agreed timelines, maintain confidentiality, and provide progress reports as agreed.

5. Responsibilities of Client

Client shall provide clear instructions, communicate tasks and deadlines, review and approve completed work, and pay fees as stated.

6. Confidentiality

Both Parties agree to keep confidential any and all proprietary information shared during the course of this Agreement.

7. Termination

Either Party may terminate by providing 14 days’ written notice. Paadio reserves the right to suspend or terminate services for non-payment or breach.

8. Independent Contractor Status

The VA assigned by Paadio is an independent contractor, not an employee of Client.

9. Limitation of Liability

Paadio shall not be held liable for indirect, incidental, or consequential damages. Total liability shall not exceed fees paid by Client for the preceding three months.

10. Governing Law

This Agreement shall be governed by the laws of the State of Minnesota, USA.

11. Entire Agreement

This document constitutes the entire agreement between the Parties.
